These terms govern your use of Interactive Voicemail ("the Service"), a product of Alexana & Co. ("we," "us," "our"). By subscribing to or using the Service, you agree to these terms.

The Service

Interactive Voicemail is an AI-powered voicemail service. When your callers reach your voicemail, an AI agent answers, responds to questions using information you provide, and delivers call summaries to you. The Service includes call answering, transcription, appointment scheduling, call notifications, and related features as described on our website.

Accounts and Eligibility

  • You must be at least 18 years old and authorized to act on behalf of your business to use the Service.
  • You are responsible for maintaining the security of your account and for all activity under it.
  • You must provide accurate and current information during signup and keep it updated.

Your Responsibilities

As a customer, you are responsible for:

  • The accuracy of the business information you provide for your voicemail's knowledge base (services, pricing, hours, listings). The AI will relay this information to callers as fact.
  • Complying with all applicable laws, including call recording consent laws in your jurisdiction. Many states require all-party consent for recording. You must ensure your use of the Service meets local requirements.
  • Informing callers that they are interacting with an automated system, where required by law. Our agents identify themselves as automated voicemail in their greeting, but ultimate legal responsibility rests with you.
  • Not using the Service for any unlawful purpose, including harassment, fraud, or deceptive practices.
  • Not uploading or providing content that infringes on third-party intellectual property rights.
  • Reviewing AI-generated call summaries and transcripts for accuracy before acting on them in any consequential way.

AI Disclaimers

The Service uses artificial intelligence to answer phone calls and generate responses. You acknowledge that:

  • AI responses may be inaccurate, incomplete, or inappropriate despite best efforts. We do not guarantee the accuracy of any AI-generated response, transcript, or summary.
  • The AI may occasionally provide information that differs from what you entered in your knowledge base.
  • Call transcripts are generated automatically and may contain errors, especially with poor audio quality, accents, or background noise.
  • The Service is not a substitute for professional advice in any field (legal, medical, financial, or otherwise).
  • You are responsible for reviewing and verifying important information before relying on it.

Voice Cloning

If you use our voice cloning feature (Pro plan):

  • You must provide your own voice recording or have explicit written consent from the person whose voice you are cloning.
  • You may not clone another person's voice without their consent.
  • Cloned voices are used solely for your voicemail service and are not shared with other customers or used for any other purpose.
  • You can request deletion of your voice clone data at any time.

Fees and Billing

  • Subscription plans are billed monthly. Prices are listed on our website and may change with 30 days' notice.
  • Setup fees, if applicable, are quoted during onboarding and due before your voicemail goes live.
  • Each plan includes a set number of minutes per month. Usage beyond included minutes may result in overage charges or a recommendation to upgrade.
  • Payments are processed through our third-party payment provider. We do not store your credit card information directly.
  • Past-due accounts may be suspended after 14 days. We will notify you before any suspension.

Cancellation

  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • We do not offer prorated refunds for partial months.
  • Upon cancellation, your voicemail number will be deactivated and calls will no longer be answered by the Service.
  • Call recordings and transcripts are retained for 90 days after cancellation, then deleted. You may request earlier deletion.

Service Availability

We aim to keep the Service available 24/7, but we do not guarantee uninterrupted service. Downtime may occur due to maintenance, third-party service outages, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

Intellectual Property

  • We own the Service, its software, and all related intellectual property.
  • You own the business information, knowledge base content, and voice recordings you provide to us.
  • You grant us a limited license to use your content solely to operate the Service on your behalf.
  • Call recordings and transcripts are owned by you. We retain them as a service provider and make them available to you during your subscription.

Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated content will be accurate.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business, lost data, or missed opportunities arising from your use of the Service.
  • Our total liability for any claim arising from or related to the Service is limited to the fees you paid us in the 12 months preceding the claim.
  • We are not liable for actions taken by callers based on information provided by the AI, or for any business decisions made based on call summaries or transcripts.

Indemnification

You agree to indemnify and hold harmless Interactive Voicemail and Alexana & Co. from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these terms or applicable law
  • Inaccurate or misleading information you provide for your knowledge base
  • Your failure to comply with call recording consent laws
  • Your violation of any third party's rights

Termination

We may suspend or terminate your account if:

  • You violate these terms
  • Your account is past due for more than 30 days
  • We are required to do so by law
  • We reasonably believe the Service is being used for fraudulent or unlawful purposes

We will provide notice before termination except where prohibited by law or where immediate action is necessary to prevent harm.

Dispute Resolution

These terms are governed by the laws of the State of Missouri. Any disputes arising from these terms or your use of the Service will be resolved in the courts of Taney County, Missouri, unless both parties agree to alternative dispute resolution.

Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
